PRIVACY POLICY

The Allendale Bar & Grill and The Mahwah Bar & Grill  (“Company”, “we”, “us” or “our”) care about the protection of your personal information.  This Privacy Policy (“Privacy Policy”) is our policy regarding our treatment of two types of information we collect from or about you (“Information”) in connection with your use of the www.allendalebarandgrill.com and www.mahwahbarandgrill.com websites and any other websites at which this Privacy Policy is posted (collectively, the “Site”): 1) personal information that identifies you (“Personal Information”), like your name, e-mail address, payment card information and other transaction information or phone number, as well as other non-public information you may provide to us, and 2) information we collect automatically, such as technical, tracking and other anonymous data (“Anonymous Information”).

This Privacy Policy sets forth, among other things, the limited circumstances in which we may share the Information of visitors to the Site with third parties and describes our privacy practices we undertake and sets out your obligations and ours with respect to your use of the Site. This Privacy Policy does not apply to information that is obtained by us other than through use of the Site.

BY USING THE SITE, YOU CONSENT TO OUR USING ANY INFORMATION THAT YOU PROVIDE TO US OR THAT WE COLLECT, IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THIS PRIVACY POLICY. IF YOU DO NOT AGREE TO THIS PRIVACY POLICY, DO NOT USE THE SITE.

Information Collected and Stored Automatically

When you visit the Site, we may automatically gather and store certain Anonymous Information about your visit. Anonymous Information we automatically collect and store about your visit may include some or all of the following:

Your IP address (i.e., the number that is automatically assigned to your computer whenever you are using the Internet) or device identifier (i.e., the number assigned to your tablet, mobile phone or other device you use to access the Internet);

We may use this Anonymous Information to help us make the Site more user-friendly and to learn about the number of visitors to the Site and the types of technology our visitors use. We do not treat Anonymous Information as Personal Information or use it in association with Personal Information, though we may aggregate, analyze and evaluate such Anonymous Information.

 

Use of Cookies and Other Tracking Technologies

We and our service providers use cookies and web beacons to collect some of this Anonymous Information. A cookie is a small data file that is stored on your computer for record-keeping purposes that can help us improve the Site and our user’s experience on the Site. A web beacon or pixel tag is technology that tracks your activity on the Site and may, for example, track visits or deliver cookies.  The cookies and web beacons we use do not track or include Personal Information.

The Site is not set up to respond to “Do Not Track” signals.

Personal Information You May Provide and How We Use It

We collect Personal Information from you when you fill out a form on the Site.  For example, if you choose to join our mailing list, purchase items or otherwise provide us with your Personal Information in an email, we will collect and store such Personal Information and use it for the purpose which you provided it to us. For example, if you sign up for our mailing list, we will send to the email address you provide various mailings related to upcoming events, promotions, and seasonal news.   We may also use Personal Information for the following:

To improve our Site and for other internal business purposes;

To provide customer service in connection with your use of the Site; and

To contact you to notify you of changes to our policies, including this Privacy Policy.

You may request that we no longer use your Personal Information to send you promotional communications. Please see the “Opt Out” section below for details about how you can submit such a request.

 

Opt Out

In each promotional email we send to you, you will be given the opportunity to opt out of receiving similar communications from us in the future by clicking on the link at the bottom of the email that says “opt out”. Please allow up to 15 days for us to process an opt-out request. If you opt out of receiving communications from us, such opt out will only apply to future communications that we may send after the time at which you have chosen to opt out.

Information Third Parties May Provide to Us

We may receive information about you from third parties.  For example, if you make a reservation at one of our restaurants through our partner site and opt to receive communications from us via the partner site, then we will receive Personal Information about you from our partner site.  Our use of such information will be subject to this Privacy Policy and our partner site’s use of such information will be subject to our partner site’s Privacy Policy.

 

How We Share Your Personal Information

We will not disclose, sell, trade or otherwise transfer any Personal Information to third parties, except (i) to parties who perform services for us; (ii) when we believe that such disclosure is required by law and/or to comply with a judicial proceeding, court order, or legal process (including but not limited to subpoenas and investigations); (iii) to enforce the Privacy Policy; (iv) to protect the rights, property, security or safety of the Company, Site users or the public; (v) to respond to an emergency; or (vi) as otherwise stated in this Privacy Policy or authorized by you.  Please note that if you have provided Personal Information to us in connection with a purchase, we may share your Personal Information with other entities as is necessary to process credit card payments, delivery and other transaction-related details.  Anonymous Information may be provided to third parties for marketing, advertising, or other uses. Such shared Anonymous Information is not reasonably traceable to you, and will not be used by any third party to contact you.

 

Your Financial Information and Security

We take active steps that we consider reasonable and appropriate to protect your Information, from loss, theft, misuse, unauthorized access and disclosure. We do not store credit card numbers or bank account numbers and use encryption technology to protect such numbers. Please note that, although we employ technologies that are designed to protect the security of your financial information, no system is impenetrable, and we cannot guarantee the security of such information and are not responsible for any breach of our systems or the theft, destruction, or inadvertent disclosure of such information. For your protection, we recommend that you refrain from providing us with Personal Information via email.  You provide all Personal Information to us at your own risk.

 

Third Parties

We may employ third-party agents or third-party service providers to operate/assist in the operation of the Site and to perform functions on our behalf, such as sending e-mails and analyzing data. These third parties have access to the Information as necessary in order to perform their respective functions. We seek to limit such third parties to using the Information that is shared with them solely for the purpose of providing such services; however, we are not responsible for such third parties’ use of Information in a manner not in compliance with this Privacy Policy.

 

Company Transactions

At any time, our Company may be involved in a sale, merger, consolidation, change in control, transfer of substantial assets, bankruptcy, reorganization, liquidation or other corporate transaction.  In such a case, your Information may be one of the business assets we transfer. You acknowledge that such transfers may occur and are permitted by this Privacy Policy, and that any entity that acquires us, is merged with us or that acquires our assets may continue to process your Information as set forth in this Privacy Policy.

 

Social Media and Links to Other Sites

The Site may offer social sharing features and other integrated tools, such as the Facebook, Twitter and Pinterest buttons (e.g., “Like,” “Tweet” and “Pin It”), which let you share actions you take on the Site with other media. Your use of such features may enable the sharing of information outside of the Company and, potentially, with the public. The Site may also provide links to third-party websites as a service to our users.  We are not responsible for the content or information collection practices of those websites. To understand how those websites collect and use your information, please check the applicable privacy policies of such websites.

 

Children

The Site is not directed at or intended for children under 18 years of age. We do not knowingly collect or solicit Personal Information from individuals under 18 years of age.

 

Modifications to this Privacy Policy

We reserve the right to change, modify, add or remove portions of this Privacy Policy at any time and without prior notice, and your continual use of the Site subsequent to any changes to this Policy will mean that you accept such changes. We will post those changes to this Privacy Policy page or other places we deem appropriate so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. You can tell if the Privacy Policy has changed by checking the revision date that appears above.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SITE.

General

The www.allendalebarandgrill.com and www.mahwahbarandgrill.com  websites (collectively, the “Site”).  Use of the Site is available only on the terms and conditions described in these Terms of Use (“Terms of Use”).  BY USING THE SITE YOU AGREE TO BE BOUND BY THE TERMS OF USE. If you do not agree to be bound by these Terms of Use, you must not use the Site.

 

Intellectual Property Rights

All content on the Site, including but not limited to, photographs, recipes, interactive features, the “look and feel” of the Site, designs, videos, logos, compilation and other materials appearing on the Site and all proprietary rights thereto, including, without limitation, copyrights, trademarks and other intellectual property rights (collectively, the “Intellectual Property”) is owned or controlled by the Company, its licensors or both. By using the Site, you shall acquire no rights, title or interest in or to the Intellectual Property.  Any rights not expressly granted pursuant to the Terms of Use are expressly reserved.

“ALLENDALE BAR AND GRILL” and “MAHWAH BAR AND GRILL” are trademarks and service marks of the Company or its affiliates.

You are permitted to access and use the Site solely for your own personal, non-commercial home use.  You are prohibited from republishing, reproducing, distributing, assigning, sublicensing, transferring, selling, modifying or otherwise using the Site without the prior written consent of the Company. You do not acquire ownership or proprietary rights to any content, Intellectual Property or other materials viewed through the Site, and you must not reproduce the Intellectual Property in any form.

 

Eligibility for Use of the Site

The Site is not targeted toward or intended for use by anyone under the age of 18. By using the Site, you represent and warrant that you (a) have the legal right and capacity to enter into these Terms of Use in your jurisdiction and to comply with these Terms of Use; (b) are a legal resident of the United States and (c) have not been previously suspended or removed from the Site, or engaged in any activity that could result in suspension or removal from the Site.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT THE COMPANY AND ITS AFFILIATES, SUBSIDIARIES, SUCCESSORS, ASSIGNS, OFFICERS, DIRECTORS, MEMBERS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES AND AGENTS (THE “COMPANY ENTITIES”) SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, ECONOMIC, PUNITIVE OR EXEMPLARY DAMAGES (EVEN IF FORSEEABLE OR IF THE COMPANY ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER THEORY, ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH THE SITE, THESE TERMS OF USE OR APPLICABLE ADDITIONAL TERMS.  YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF SERVICES OR PRODUCTS RECEIVED THROUGH OR IN CONNECTION WITH THE SITE OR ANY LINKS ON THE SITE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR IN CONNECTION WITH THE SITE OR ANY LINKS ON THE SITE.  SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF ANY CONTENT POSTED BY A THIRD-PARTY OR CONDUCT OF A THIRD-PARTY ON THE SITE.

 

Indemnification

You agree to indemnify and hold harmless each of the Company Entities from any and all claims, liabilities, damages and expenses (including attorneys’ fees) arising out of or related to (i) your use of the Site, (ii) your breach or alleged breach of the Terms of Use, (iii) your violation of the rights of any third party, (iv) any materials or information provided to us by you or (v) your acts or omissions.

Termination

The Company may change, suspend or discontinue any aspect of the Site at any time, in its sole discretion. In addition and without prejudice to any legal or equitable remedy available to the Company, the Company may immediately terminate this Agreement if you breach any term of this Terms of Use. The Terms of Use may also be immediately terminated at any time by the Company in its sole discretion.

 

Governing Law; Arbitration; Time Limitation for Claims

The Terms of Use shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflicts of law provisions. Any dispute, controversy, or claim arising out of, relating to, or concerning the Site or the Terms of Use (“Claim”) shall be submitted to final and binding arbitration administered by the American Arbitration Association (“AAA”) before a single, neutral arbitrator, under its Commercial Arbitration Rules then in effect and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.  Any such arbitration will be conducted in New York, New York. All arbitration awards shall be limited to monetary damages; provided that the arbitrator shall not have authority to award punitive damages. To the maximum extent permitted by law, you permanently and irrevocably waive the right to bring any Claim in any forum unless you provide Company with written notice of the event or facts giving rise to the Claim within one (1) year of their occurrence.

 

Miscellaneous

If any provision(s) of the Terms of Use is held by a court of competent jurisdiction to be unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. The Company’s failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision unless acknowledged and agreed to by the Company in writing. The section titles in the Terms of Use are used solely for the convenience of the parties and have no legal or contractual significance. The Terms of Use, including the Privacy Policy referenced herein, constitute your entire agreement with the Company. The Company reserves the right to make changes to the Site, the Terms of Use, the Privacy Policy and all related disclaimers and policies at any time.  You agree that these Terms of Use and our rights hereunder may be assigned, in whole or in part, by us or our affiliate to any third party, in our sole discretion, including an assignment in connection with a merger, acquisition, reorganization or sale of substantially all of our assets, or otherwise, in whole or in part.  You may not assign, sublicense, or delegate your rights hereunder.
